The above applicant hereby applies for a trade account with The Barter Authority, Incorporated (hereinafter referred to as TBA) for the privilege of trading goods and services with other TBA clients. If accepted the applicant understands that TBA will charge a cash fee on all sales and purchases generated

through TBA (both cash and trade portions) based on one of the two plans checked below:

_____ Premier Trade Account - 6% cash fee on all monthly sales and a 6% cash fee on all monthly purchases. A monthly maintenance fee of $15.00 Cash and $15.00 Trade will also be charged.

_____ Regular Trade Account -10% cash fee on all monthly sales and a 5% cash fee on all monthly purchases and a monthly maintenance fee of $15 cash and $15.00 trade. All fees are due in full by the 10^th of each month.

Applicant understands that there is an initial fee of $350 cash and $150 trade, which is a one-time set up charge. TBA will guarantee you 5 times the membership fee in new TBA business within 12 months of acceptance of this application and agreement. All Trade fees are automatically deducted from the account beginning in the month following acceptance of this application and agreement.

Hard to Market Product/Services

In the event a business wants to join TBA with a product which is hard to market, TBA will allow business to join with an initial membership fee of ___________. TBA client will be charged a monthly maintenance fee of $15.00 cash and $15.00 trade. A 6% cash fee on all monthly sales and a 6% cash fee on all monthly purchases will also be charged.

The TBA client will agree, if monthly cash fees are due, they will be charged to their debit/credit card.

The undersigned acknowledges receiving a copy of this agreement and the Trading Rules and Regulations which are posted on www.thebarterauthority.com. Upon acceptance of this application by TBA, it shall become an agreement between the parties, enforceable in a court of law, and applicant shall become a client of TBA. Client and all persons authorized by client to hold or otherwise use a TBA ID card, agrees to abide by the Trading Rules and Regulations as from time to time amended and published on the TBA website, www.thebarterauthority.com.

Client further agrees that any usage of an assigned line of credit constitutes a debt to the system and may be payable in cash if acceptable trade options no longer exist.

Personal Guaranty

In consideration of TBA entering into this agreement and for other valuable consideration, the undersigned party hereby guaranties payment of all sums.

Payable due hereunder in the event of default, hereby waiving all surety ship defenses, notice of default, modification, assignment or extensions of this

Trade Account Application and Agreement.
